This page states the Terms and Conditions (The “Terms”) that govern your use of the Online Interfaces and Properties (E.G., Websites, Mobile Applications, Platforms, and any portals)(Collectively, the “Sites”) of Emerge and its affiliates.

This is not our Privacy Policy nor our HIPAA Notice of Privacy Practices.

This site is not designed to intake personal health information, PHI, or ePHI.

  1. Service Interruptions and Site Maintenance

Technical or other difficulties cannot always be foreseen or anticipated. These difficulties may result in loss of data, personalized settings or other service interruptions. Emerge has no obligation to provide you any support or maintenance regarding this Site.

Emerge reserves the right to change or discontinue, temporarily or permanently, this website application or any of the Sites at any time. Emerge will not be liable to any user or any third party for any damages associated with any modification or discontinuance of the Sites. Emerge and its licensors shall have no liability whatsoever for failure of electronic or mechanical equipment or communication, telephone or other connection problems, computer viruses, unauthorized access or interception of data from the Sites or any theft or errors from your use or access to the Sites.

Emerge Content is the property of Emerge and its licensors, and is protected in the U.S. and internationally under trademark, copyright, and other intellectual property laws. Unauthorized use may violate copyright, trademark and other laws. Emerge authorizes you to view and download material on the Sites solely for your own use. You must keep all copyright and other proprietary notices on any copies you make. You may not sell or modify the material or otherwise use it for any public or commercial purpose.

  1. User Responsibilities and Guidelines

Emerge has established user responsibilities and guidelines for your benefit and security. Any users that violate these guidelines may have their use of the Sites (and the services thereon) terminated by Emerge.

These responsibilities include: providing accurate, current and complete information; taking adequate security measures to include username and password best practices; and reporting any breach of security relating to their account. Emerge is not liable for any loss that may occur as a result of a third party using user’s password or account either with or without user’s knowledge.

  1. Termination of Access and Use of this Site

Emerge may terminate your access to the Site if you violate any of these Terms or upon termination of any agreement that you may have with Emerge. Emerge reserves the right any time to discontinue access to the Sites. This includes where a User has violated the User Responsibilities and Guidelines as described above. You agree that you do not have any rights in the function, performance, or access to the Sites and that Emerge will have no liability to you if the Sites are discontinued your ability to access the Sites or any content you may have created therein is terminated.

Emerge makes no, and disclaims all, representations or warranties of any kind, express or implied as to the operation of the sites or the information, content, materials, services or products referenced on the sites.

  1. Limitation of Liability

Emerge will not be liable for any damages of any kind arising from the use of this site, including, but not limited to, direct, indirect, special, incidental, exemplary, punitive, and consequential damages. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages; as a result, the above limitation or exclusion may not apply to you.

  1. Miscellaneous

These terms constitute a binding agreement between you and Emerge and they are accepted by you upon your use of the Sites or your online account.

Both you and Emerge acknowledge and agree that no partnership is formed and neither you nor the Company has the power or the authority to obligate or bind the other.

If Emerge fails to act with respect to your breach or anyone else’s breach of the Terms or breach of any other contractual agreement with Emerge on any occasion, Emerge is not waiving its right to act with respect to future or similar breaches.

If any provision of these Terms are deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.

Emerge may assign this agreement in whole or in part, at any time with or without notice to you. You may not assign this agreement, or any part of it, to any other person. Any attempt by you to do so is void.
